Terms of Service
The agreement between your organization and SproutSage, in plain English. It sits beside our Privacy Policy, which says what we do with the information you give us.

The agreement#
These terms are an agreement between SproutSage LLC, of San Jose, California (“SproutSage”, “we”, “us”), and the organization that signs up for SproutSage (“you”, “the customer”). They cover the SproutSage web app at app.sproutsage.com, its API and MCP endpoint at api.sproutsage.com, the Mac and iPhone apps, the browser clipper and the Gmail and Outlook add-ons (together, “the service”).
If you accept these terms for an organization, you confirm that you are allowed to bind it. A person who signs in as a member of a customer’s workspace uses the service under the customer’s agreement and these terms’ acceptable-use rules. If you and SproutSage have signed a separate written agreement, that agreement wins where the two disagree.
Accounts and workspaces#
- You sign in with Google or Microsoft. SproutSage has no passwords of its own; your work account’s provider confirms who you are. Keep that account secure — anything done while signed in as you is treated as done by you.
- Your organization is a workspace. Its administrators invite members, decide who can read which shared Spaces, and connect sources. Administrators are responsible for the people they invite and for the access they grant.
- Keys and connected apps act as you. An API key or an app you approve (the Mac app, the clipper, an assistant connected over MCP) can read exactly what you can read. Keep keys secret and revoke ones you no longer use.
- You must be at least 16 and using SproutSage for work. It is not a consumer product.
Tell us at legal@sproutsage.com straight away if you believe an account or key has been compromised.
Acceptable use#
You agree not to, and not to let anyone else:
- connect or upload content you do not have the right to share with SproutSage, or that breaks the law or someone else’s rights;
- use SproutSage to send spam, malware or anything designed to harm a person, a system or the service;
- try to reach another customer’s data, probe or bypass our security or access controls, or test them without our written permission;
- overload the service, get around rate limits, or scrape it beyond what the API and MCP tools are offered for;
- copy, resell or reverse-engineer the service, or use it to build a competing product;
- use answers from SproutSage as the only basis for a decision with legal, medical, financial or similarly significant effects on a person.
If we have to act on a breach of these rules we will say so, and where it is safe to, give you a chance to fix it first.
Your content is yours#
You own your content. Everything you or your sources bring into SproutSage — documents, messages, emails, notes, meeting transcripts and files — and what the service derives from it for you (summaries, index cards, extracted records, answers) stays yours.
You give SproutSage permission to host, copy, process and transmit that content only as needed to provide, secure and support the service for you, as described in the Privacy Policy. We do not sell it, use it for advertising, or use it to train generalized AI models.
You are responsible for having the rights and permissions needed to bring your content into SproutSage — including telling people when their conversations are captured where the law requires it.
Feedback. If you send us ideas or suggestions about SproutSage, we may use them without owing you anything. That does not give us any right to your content.
AI output#
SproutSage uses AI models to summarize, classify, extract and answer. AI output can be wrong, incomplete or out of date. Answers cite the documents they were drawn from so that you can check them — please do, before relying on an answer for anything that matters.
An answer is only as good as the sources it can read: SproutSage answers from the content you have connected and are allowed to see, and says so when it cannot find support for an answer. You are responsible for how you use the output.
Early access#
SproutSage is in early access. Features may change, appear or be withdrawn as we learn, and the apps are distributed through Apple’s TestFlight. We work hard to keep the service available and your content safe, but during early access we do not promise any particular uptime or support response time.
Third-party services you connect — Google, Microsoft, Slack and others — are governed by their own terms, and we are not responsible for them or for changes they make that affect what SproutSage can do.
Fees#
SproutSage is free to use during early access. If we introduce paid plans, we will tell you at least 30 days before any charge applies, and nothing will be charged unless you choose a plan.
Ending the agreement, and taking your content#
You can stop using SproutSage at any time: disconnect your sources, remove members, and ask us to delete your workspace by writing to privacy@sproutsage.com. The Privacy Policy says what is deleted and when.
We may suspend or end your access if you materially breach these terms and do not fix the breach after we tell you about it, if the law requires us to, or immediately if your use puts the service or other customers at risk. We may also end early access for everyone; if we do, we will give you at least 30 days’ notice.
Export. Your connected sources stay where they are — SproutSage reads them; it does not move them. For content that exists only in SproutSage, such as notes, ask us at legal@sproutsage.com before your workspace is deleted and we will provide an export in a standard format. After the agreement ends we delete your content as the Privacy Policy describes.
Sections that by their nature should survive the end of the agreement — ownership, disclaimers, limitation of liability and governing law — do.
Disclaimers#
Except as these terms expressly say, the service is provided “as is” and “as available”. To the extent the law allows, SproutSage disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and does not promise that the service, or any AI output, will be uninterrupted, error-free or correct.
Limitation of liability#
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, however caused. Each party’s total liability arising out of these terms is limited to the greater of the amounts you paid SproutSage in the twelve months before the claim and US $100.
These limits do not apply to liability that cannot be limited by law, or to a party’s fraud. Some jurisdictions do not allow some of these exclusions; where they do not, they apply as far as they are allowed.
Changes to these terms#
We may update these terms as the service changes. If a change is material, we will tell workspace administrators by email or in the product at least 30 days before it takes effect. The date at the top says when the text last changed. If you keep using SproutSage after a change takes effect, the new terms apply; if you do not agree, you can stop using the service.
Governing law#
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and disputes are decided by the state and federal courts located in Santa Clara County, California. Nothing here takes away rights you have under laws that cannot be contracted out of.
If any part of these terms cannot be enforced, the rest still applies. Not enforcing a right straight away is not giving it up. You may not transfer these terms without our consent; we may transfer them to a successor to our business, and will tell you if we do.
